Terms of Service

You may use our services only if you can legally enter into a binding agreement with OaaS. You are responsible for providing accurate information when creating an account and for keeping your account credentials secure. You may not use our services for unlawful, fraudulent, abusive, or unauthorized purposes.

Some features require you to create an account under a designated capacity (Enterprise Client, Specialist, Recruiter, or Affiliate Partner). You are responsible for all activity that occurs under your account. Please keep your login information confidential and notify us promptly if you believe your account has been accessed without authorization. We reserve the right to suspend or terminate accounts that violate these Terms or fail mandatory Know Your Customer (KYC) and Know Your Business (KYB) compliance checks.

Our platform allows businesses and individuals to create and manage affiliate, referral, and partner programs. You are responsible for defining your program rules, commission structure, promotional policies, and eligibility requirements. Affiliates must follow the program terms established by the applicable business and comply with all relevant advertising, disclosure, and marketing laws.

Certain features may require a paid subscription or escrow pre-funding under our "Wallet-First" architecture. Subscription prices, billing periods, escrow milestones, and applicable fees will be displayed before purchase or deployment. Unless otherwise stated, fees and escrow deposits are billed in advance. Platform fees and statutory deductions (including PAYE, VAT, and WHT where mandated by local jurisdictions) are computed automatically before disbursements. We may change our pricing with reasonable notice.

You agree not to: • Use the platform for illegal, deceptive, or fraudulent activities. • Attempt to gain unauthorized access to our systems, servers, or user accounts. • Interfere with the security, integrity, or proper operation of the platform. • Upload malicious code, viruses, or harmful content. • Misrepresent your identity, credentials, professional qualifications, or affiliation. • Solicit, offer, or accept off-platform payments to circumvent platform escrow rails. • Abuse referral, affiliate, or reward systems. • Use automated methods, scrapers, or bots to access the platform in a way that violates our policies.

All software, designs, trademarks, content, graphics, algorithms, and other materials provided by OaaS are owned by or licensed to us. You may use the platform only as permitted under these Terms. Upon full release of escrow compensation, all custom deliverables, code, and work product developed by talent for a client are assigned entirely to the client. You retain ownership of content and data that you submit to the platform, subject to the rights necessary for us to provide and operate the services.

Our services may integrate with third-party applications, payment settlement providers, analytics tools, or background verification agencies. Your use of third-party services may be subject to their own terms and privacy policies. We are not responsible for the availability, security, or practices of third-party services.

We work to keep our platform available and reliable, but we do not guarantee uninterrupted or error-free service. We may temporarily suspend access for maintenance, security updates, technical issues, or other operational reasons.

Our services are provided on an "as available" and "as is" basis to the extent permitted by law. We do not guarantee that the platform will always meet your specific requirements or produce particular business results.

To the maximum extent permitted by applicable law, OaaS will not be liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from your use of the services. Our total liability will be limited to the amount you paid to us for the services during the applicable period, except where a different limitation is required by law.

You may stop using our services at any time. We may suspend or terminate your account if you violate these Terms, create security risks, engage in fraudulent activity, or use the services in a way that could harm our platform or other users. Upon termination, your right to access the services will end, and any undisputed wallet balance will be returned subject to compliance review.

We may update these Terms from time to time. When we make material changes, we may provide notice through our website, platform, or email. Your continued use of the services after updated Terms become effective means you accept the revised Terms.

These Terms will be governed by the applicable laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Any disputes will be handled through good-faith mediation followed by binding arbitration in Lagos, Nigeria.
